What are the advantages of having a company in Singapore?

Is it necessary to visit Singapore to register my new company?
No. Foreign entrepreneurs do not need to be physically present in Singapore to incorporate a company. The entire process can be handled remotely through a registered filing agent such as Wisecorp. Documents can be signed digitally and applications are submitted electronically via ACRA's BizFile+ portal. Approval is typically granted within 1–3 business days.
Can my company be inactive or dormant after registration?
Yes, a Singapore company can remain dormant (i.e., have no business transactions) after registration. However, it must still meet its annual statutory obligations — including filing an annual return with ACRA. A dormant company may qualify for audit exemption if it has no accounting transactions during the financial year. Annual corporate secretarial fees still apply.
What are the minimum requirements to set up a Singapore company?
To incorporate a Singapore private limited company (Pte Ltd) you will need: (1) At least one director who is ordinarily resident in Singapore; (2) At least one shareholder — individual or corporate entity; (3) A minimum paid-up capital of S$1; (4) A Singapore registered office address; and (5) A qualified company secretary appointed within 6 months of incorporation.
The shareholder of my company is a corporation. What documents are required?
For a corporate shareholder, you will need to provide: Certificate of Incorporation, Memorandum & Articles of Association, Certificate of Incumbency, and proof of registered address. If the shareholder of the corporate entity is also a corporation, the same documents are required up the chain until individual beneficial owners are identified, along with identification documents and written authorisation for the corporate representative.
Who can set up a local Singapore company?
Any individual aged 18 years and above — including both Singapore residents and foreigners — can be a shareholder of a Singapore company. However, the company must have at least one director who is ordinarily resident in Singapore. Foreign entrepreneurs without a local director can engage Wisecorp's Nominee Director service to fulfil this requirement while retaining full ownership and control.
Do I need to register for GST?
GST registration is compulsory if your company's taxable annual turnover exceeds S$1 million. Voluntary registration is also available if you're below the threshold, which can be beneficial if you wish to claim input tax credits on business purchases. The current GST rate is 9% (effective 1 January 2024).
When should I register for GST?
You are required to register for GST within 30 days if: (1) Your taxable turnover for the past 12 months exceeded S$1 million; or (2) You have reasonable grounds to expect your turnover will exceed S$1 million in the next 12 months. When do I need to hold my company's Annual General Meeting (AGM)?
Singapore private limited companies are generally exempt from holding AGMs if they send financial statements to members within 5 months of the financial year end. Public companies must hold an AGM within 6 months of the financial year end. Members holding at least 10% of voting rights may also request an AGM. Must I appoint a Company Secretary?
Yes. Every Singapore company must appoint a qualified company secretary within 6 months of incorporation. The secretary must be a natural person ordinarily resident in Singapore, and the sole director cannot also serve as company secretary. What is the typical incorporation process?
The process involves: (1) Reserve and approve your company name via ACRA's BizFile+ (1–2 days); (2) Prepare incorporation documents — M&A, identification documents, registered address; (3) Submit application via BizFile+ (approval typically in 1–3 business days); (4) Receive your Certificate of Incorporation and Company UEN; (5) Appoint company secretary, open corporate bank account, and apply for relevant licences. What is XBRL?
XBRL (eXtensible Business Reporting Language) is an internationally recognised electronic format for financial reporting. With effect from 1 November 2007, ACRA requires Singapore-incorporated companies to file financial statements in XBRL format. XBRL makes financial data digitally accessible and comparable.
